Terms & Condition
Last updated: August 25, 2026
These Terms & Conditions (“Terms”) govern your use of the WebKeepy website and the services provided by WebKeepy (“WebKeepy”, “we”, “us”, or “our”). By accessing our website, submitting an enquiry, purchasing a service, or engaging us to perform work, you agree to be bound by these Terms.
These Terms are intended to establish the general conditions under which WebKeepy provides website repair, rebuilding, development, maintenance, security, migration, hosting management, technical SEO, performance optimisation, accessibility, backup and recovery, and ongoing technical support services.
1. Definitions
For the purposes of these Terms:
- “Client”, “you”, or “your” means the individual, business, organisation, or other entity engaging WebKeepy or using our services.
- “WebKeepy”, “we”, “us”, or “our” means WebKeepy and its authorised personnel or service providers.
- “Website” means any website, web application, online store, CMS installation, server environment, or related digital property submitted to us for work.
- “Services” means any services described on our website, proposal, quotation, invoice, statement of work, service plan, or other written agreement.
- “Project” means a specific one-time engagement or defined body of work agreed between WebKeepy and the Client.
- “Service Plan” means an ongoing maintenance, support, monitoring, hosting management, or other recurring service arrangement.
2. Our Services
WebKeepy provides technical website services that may include, but are not limited to:
- Website repair and troubleshooting
- Website redesign and UX/UI improvements
- Website rebuilding and technical re-architecture
- Custom website and web application development
- Website and platform migration
- Website maintenance and updates
- Backup and recovery
- Website security, malware removal, and security hardening
- Performance optimisation and Core Web Vitals improvements
- Technical SEO
- Accessibility improvements and audits
- Hosting and server management
- Ongoing technical support and monitoring
The exact services, deliverables, limitations, estimated timeline, fees, and responsibilities for a particular engagement may be defined in a quotation, proposal, statement of work, invoice, service plan, email confirmation, or separate agreement.
Where a project-specific agreement exists, its terms will apply to that project. If there is a conflict between these Terms and a signed or otherwise expressly agreed project-specific agreement, the project-specific agreement will take precedence to the extent of that conflict.
3. Quotes, Proposals, and Scope of Work
Before work begins, WebKeepy may provide an estimate, quotation, proposal, or statement of work describing the expected scope and cost.
Unless expressly stated otherwise, a quotation is based on the information available to us at the time it is prepared. If the actual condition of a website, server, codebase, database, integrations, or other technical environment differs materially from the information provided, additional work may be required.
Work outside the agreed scope may be quoted separately or charged at the applicable rate where permitted by the applicable agreement.
4. Website Repair and Troubleshooting
Website repair work may involve investigation and modification of code, databases, configuration files, hosting environments, plugins, themes, integrations, DNS settings, or other technical components.
Because many technical problems have unknown causes or involve third-party systems, WebKeepy does not guarantee that every issue can be identified or permanently resolved within an initial diagnostic period or fixed-fee scope.
Where a website has been compromised, corrupted, poorly maintained, unsupported, or materially damaged before work begins, additional remediation, rebuilding, or migration may be required.
5. Website Rebuilds and Development
For website rebuild and development projects, the agreed scope will define the principal deliverables and functionality to be provided.
Unless expressly included, a development project does not automatically include unlimited revisions, ongoing maintenance, hosting, third-party subscriptions, premium software licences, content creation, copywriting, photography, legal compliance, or future feature development.
Estimated project timelines depend on factors including scope, technical complexity, third-party systems, content delivery, access to required accounts, and Client feedback. Unless a specific deadline is expressly guaranteed in writing, project dates are estimates rather than guarantees.
6. Website Migration
Migration services may include moving a website between hosts, servers, domains, CMS platforms, e-commerce platforms, or other technical environments.
We will take reasonable measures to preserve website content, databases, configuration, and functionality according to the agreed scope. However, migrations may be affected by limitations of the source platform, destination environment, third-party providers, incompatible software, incomplete backups, data corruption, or missing access credentials.
Where feasible, WebKeepy may create or recommend backups before performing migration work. The Client remains responsible for maintaining ownership and appropriate backups of its data unless backup and recovery services are expressly included in the engagement.
7. Maintenance and Ongoing Support
Ongoing maintenance and support services are provided according to the applicable service plan or agreement.
Depending on the selected service, maintenance may include software updates, security checks, backups, monitoring, troubleshooting, performance checks, database optimisation, and other technical tasks.
Services that are not expressly included in an active service plan, including substantial development, major redesigns, new features, migrations, or complex technical projects, may be charged separately.
Maintenance work may require temporary access restrictions, website downtime, service restarts, or other technical interruptions. Where reasonably practical, we will provide advance notice of planned work that is expected to cause significant disruption.
8. Emergency and Critical Issues
WebKeepy may offer emergency or priority technical support for certain services. Any response-time commitment, service level, support window, or availability guarantee applies only where expressly included in the relevant service plan or agreement.
Unless a specific Service Level Agreement (“SLA”) has been agreed in writing, references to urgent, emergency, rapid, or priority support do not constitute a guarantee of immediate response or resolution.
9. Hosting and Server Management
Where WebKeepy provides hosting management or server administration services, we may configure, monitor, optimise, or maintain infrastructure operated by WebKeepy or by third-party hosting providers.
Unless expressly stated otherwise, WebKeepy is not responsible for outages, performance problems, data loss, service changes, account suspension, network failures, hardware failures, or other incidents caused by a third-party hosting, cloud, domain, DNS, CDN, email, or infrastructure provider.
Hosting fees, domain registration fees, premium software licences, cloud usage charges, and third-party service charges are separate from WebKeepy’s professional service fees unless explicitly included in the agreed service.
10. Security Services and Malware Removal
Security services may include security hardening, malware scanning and removal, vulnerability assessment, access control improvements, firewall configuration, monitoring, patching, or related technical measures.
No security service can guarantee that a website will never be compromised. Security risks may arise from vulnerabilities in third-party software, compromised credentials, hosting infrastructure, outdated systems, human error, newly discovered vulnerabilities, or other factors outside our control.
Where a website has been compromised, complete remediation may require password resets, software updates, restoration from a clean backup, removal of malicious accounts, server-level investigation, or rebuilding affected components.
11. Backups and Recovery
Where backup services are included in the Client’s service plan, WebKeepy will perform backups according to the agreed schedule and storage arrangement.
Backup services are intended to reduce the risk of permanent data loss but do not guarantee successful recovery in every circumstance.
The Client remains responsible for identifying critical data and communicating any specific retention, recovery, or compliance requirements that apply to its business.
12. Performance Optimisation
Performance optimisation may involve changes to code, images, databases, caching, hosting configuration, content delivery networks, third-party scripts, or other components.
Performance results can vary depending on hosting infrastructure, network conditions, third-party services, website content, user devices, and other factors outside WebKeepy’s control.
Unless expressly guaranteed in writing, performance improvements and scores from third-party testing tools are targets or objectives rather than guaranteed results.
13. Technical SEO
Technical SEO services may include improvements to crawling, indexing, site structure, metadata, canonicalisation, XML sitemaps, robots directives, structured data, redirects, performance, and related technical factors.
WebKeepy does not guarantee specific search engine rankings, traffic levels, indexing decisions, featured results, AI-generated search results, or other outcomes controlled by search engines or third-party platforms.
14. Accessibility
Accessibility services may include audits, technical remediation, keyboard navigation improvements, semantic markup improvements, screen-reader testing, and other work intended to improve accessibility.
Accessibility requirements can vary according to jurisdiction, industry, website functionality, and applicable law. WebKeepy does not provide legal advice or guarantee that a website will satisfy every accessibility or legal requirement unless a specific legal compliance engagement has been agreed with appropriately defined scope.
15. Client Responsibilities
The Client agrees to:
- Provide accurate and complete information required to perform the Services.
- Provide timely access to websites, hosting accounts, domain registrars, servers, databases, APIs, third-party platforms, and other systems where required.
- Provide required content, images, documents, branding materials, credentials, approvals, and other project materials in a timely manner.
- Maintain appropriate ownership and legal rights to all materials provided to WebKeepy.
- Review and approve deliverables within a reasonable timeframe.
- Maintain control of its own accounts and credentials unless account management has been expressly assigned to WebKeepy.
- Notify WebKeepy of known technical, security, privacy, regulatory, or operational requirements relevant to the project.
Delays caused by missing information, unavailable access, late approvals, third-party dependencies, or other Client-controlled factors may affect project timelines and costs.
16. Client Content and Legal Responsibility
The Client is responsible for the legality, accuracy, ownership, and rights associated with content, products, services, images, text, data, documents, software, trademarks, and other materials supplied to WebKeepy.
The Client must ensure that its website and content comply with applicable laws and regulations, including those relating to privacy, consumer protection, copyright, intellectual property, accessibility, e-commerce, advertising, and data protection where applicable.
WebKeepy does not assume responsibility for determining whether Client content or business practices comply with applicable law unless legal compliance consulting is expressly included in the agreed scope.
17. Third-Party Software and Services
Websites commonly depend on third-party software and services, including plugins, themes, APIs, payment processors, hosting providers, email services, cloud platforms, DNS providers, analytics tools, and other technologies.
WebKeepy may recommend, configure, integrate, or maintain third-party services, but we do not control their availability, pricing, policies, compatibility, security, or future development.
Third-party licences, subscriptions, usage fees, API charges, and other external costs are the responsibility of the Client unless expressly included in the agreed service.
18. Licences and Intellectual Property
Unless otherwise agreed in writing, the Client retains ownership of materials and content that it supplied to WebKeepy.
Ownership and licensing of newly developed code, designs, configurations, documentation, templates, reusable components, tools, libraries, scripts, and other deliverables will be determined by the relevant proposal, statement of work, invoice, or separate agreement.
Third-party software remains subject to its own licence terms. Open-source software remains subject to the applicable open-source licence.
WebKeepy may retain ownership of pre-existing tools, internal systems, reusable components, methodologies, templates, scripts, libraries, and general technical know-how used to provide the Services unless otherwise agreed in writing.
19. Confidentiality
WebKeepy will treat non-public business and technical information received from the Client as confidential and will use such information only as reasonably necessary to provide the Services, unless disclosure is required by law or authorised by the Client.
The Client should not provide information that is unnecessary for the requested service. Sensitive credentials should be shared using an appropriate secure method wherever available.
20. Account Credentials and Access
Where access credentials are required, the Client authorises WebKeepy to use those credentials solely for the agreed Services.
The Client is responsible for ensuring that access granted to WebKeepy is authorised and may revoke such access when it is no longer required, subject to any ongoing contractual obligations.
WebKeepy is not responsible for unauthorised access resulting from compromised credentials, weak passwords, insecure Client systems, or access granted by the Client to third parties, except to the extent caused by WebKeepy’s own failure to exercise reasonable care.
21. Payments and Fees
Fees, payment schedules, deposits, recurring charges, and other commercial terms will be stated in the applicable quotation, proposal, invoice, service plan, or agreement.
Unless otherwise agreed in writing, work may begin only after any required deposit or initial payment has been received.
Recurring services may be billed monthly, annually, or according to another agreed schedule.
If an invoice becomes overdue, WebKeepy may suspend non-critical services, support, maintenance, hosting management, or other work until outstanding amounts are paid, subject to applicable law and the terms of the relevant agreement.
22. Additional Work and Change Requests
Changes requested after approval of the agreed scope may require additional fees or an adjustment to the project timeline.
Examples include substantial changes to functionality, additional pages, additional integrations, new features, changes to approved designs, unexpected technical remediation, unsupported legacy systems, or work caused by changes to third-party platforms.
Where possible, WebKeepy will inform the Client before carrying out material additional work.
23. Cancellation and Termination
Either party may terminate a service or project where permitted by the applicable agreement and applicable law.
Termination of an ongoing service does not automatically cancel outstanding invoices, approved project charges, third-party costs, or other amounts already incurred.
Where an ongoing service is cancelled, the Client may be responsible for fees accrued up to the effective termination date and any other charges expressly specified in the applicable service agreement.
Where appropriate, WebKeepy may assist with the transfer of website files, databases, configurations, documentation, or access to another provider. Any substantial transition or migration work may be charged separately unless included in the applicable service.
24. Suspension of Services
WebKeepy may suspend or restrict access to Services where reasonably necessary to protect systems, prevent abuse, address security risks, comply with legal requirements, respond to non-payment, or prevent harm to WebKeepy, the Client, or third parties.
Where reasonably practical, we will notify the Client before suspension and provide an opportunity to resolve the issue.
25. No Guarantee of Uninterrupted Service
Although we take reasonable measures to maintain reliable services, WebKeepy does not guarantee that a website, server, support channel, or other service will operate without interruption or error unless a specific availability commitment is expressly agreed in writing.
Service interruptions may result from maintenance, software failures, cyberattacks, third-party outages, infrastructure failures, DNS problems, network issues, force majeure events, or circumstances outside our reasonable control.
26. Warranties and Limitations
WebKeepy will perform professional services with reasonable care and skill consistent with the nature of the Services provided.
Except where expressly stated in writing, we do not guarantee that:
- A website will be completely free from errors or vulnerabilities.
- A particular technical problem will be permanently resolved.
- A website will achieve a specific performance score.
- A website will achieve a particular search engine ranking or amount of traffic.
- A third-party platform, API, plugin, theme, server, or service will remain compatible or available.
- A compromised or damaged website can always be completely restored.
- A website will satisfy every legal or regulatory requirement without a specifically defined compliance engagement.
27. Limitation of Liability
To the maximum extent permitted by applicable law, WebKeepy will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, including loss of profits, revenue, business opportunities, anticipated savings, goodwill, or data, arising from the use of or inability to use the Services.
WebKeepy will not be responsible for losses caused by circumstances outside our reasonable control, including third-party hosting failures, domain or DNS problems, third-party software vulnerabilities, platform changes, compromised Client credentials, Client actions or omissions, or failures of systems not controlled by WebKeepy.
Nothing in these Terms excludes or limits liability to the extent that such liability cannot legally be excluded or limited under applicable law.
28. Indemnification
To the extent permitted by applicable law, the Client agrees to defend, indemnify, and hold WebKeepy harmless from claims, losses, liabilities, damages, costs, or expenses arising from:
- Content or materials supplied by the Client that infringe the rights of another person or entity.
- The Client’s unlawful use of a website, system, service, or other technology.
- The Client’s violation of applicable laws or third-party terms.
- Unauthorised actions or instructions provided by the Client or someone acting on the Client’s behalf.
29. Force Majeure
WebKeepy will not be responsible for delay or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, war, civil unrest, government action, widespread internet or infrastructure failures, power outages, major cyber incidents, telecommunications failures, epidemics, labour disruptions, or failures of third-party service providers.
30. Changes to Services and Terms
We may update, modify, expand, or discontinue aspects of our website or Services from time to time.
We may also update these Terms when necessary to reflect changes to our business, Services, technology, or legal obligations. The updated version will be published on this page with a revised Last updated date.
For an active project or recurring service, material changes that affect the Client’s existing contractual rights or obligations will be handled in accordance with the applicable agreement and applicable law.
31. Governing Law
These Terms are governed by the laws applicable to WebKeepy and the contractual relationship with the Client, subject to any mandatory consumer protection or other laws that cannot legally be excluded.
Where a separate written agreement between WebKeepy and the Client specifies a governing law or jurisdiction, that agreement will control for the relevant engagement.
32. Entire Agreement
These Terms, together with any applicable quotation, proposal, statement of work, invoice, service plan, or separate written agreement, form the understanding between WebKeepy and the Client concerning the relevant Services.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
